Welcome to NewFlo Telecoms Ltd. These Terms of Service (“Terms”) govern your use of our website, products, and services. By accessing or using our services, you agree to comply with these Terms. If you do not agree, please do not use our website.
1. About these terms

These terms govern your access to and use of flotelecoms.com and any other public website operated by Newflo Telecoms Ltd that links to these terms (the Website).

The Website is operated by Newflo Telecoms Ltd, a private limited company registered in Scotland under company number SC894508 (NewFlo, we, us or our).

By using the Website, you agree to these terms. If you do not agree, you must not use the Website.

2. Website terms are separate from customer agreements

These terms apply only to the public Website. They do not by themselves grant access to Flo or govern any paid, pilot, subscription, professional or managed service.

Access to Flo and the provision of services are governed by the applicable Order Form, Master Services Agreement, service schedule, Data Processing Agreement, Service Level Agreement, Acceptable Use Policy or other written agreement between NewFlo and the relevant customer.

If a signed customer agreement conflicts with these terms, the signed customer agreement prevails in relation to the relevant service.

Nothing on the Website constitutes an offer capable of acceptance, a quotation, a service-level commitment or a promise that any particular feature will be delivered. A contract for services is formed only in the manner stated in the relevant written customer agreement.

3. Business use

The Website and Flo are intended principally for organisations and people acting in a business or professional capacity. They are not directed at children.

If you use the Website on behalf of an organisation, you confirm that you are authorised to act for that organisation in relation to your use of the Website.

4. Permitted use

You may access and use the Website for lawful business-information and enquiry purposes.

You must not:

  • use the Website unlawfully, fraudulently or in a way that infringes another person’s rights;
  • attempt to gain unauthorised access to the Website, Flo, any account, server, database or connected system;
  • introduce malware, malicious code, automated scraping that places an unreasonable load on the Website, or any material intended to disrupt or damage systems;
  • probe, scan or test the vulnerability of the Website without our prior written permission;
  • impersonate another person or misrepresent your identity, authority or affiliation;
  • use Website content to build or train a competing product, dataset or service except to the extent that the law does not permit us to restrict that activity; or
  • remove or obscure copyright, trade mark or other proprietary notices.

We may restrict or block access where reasonably necessary to protect the Website, our systems, our customers or other users, or to investigate suspected misuse.

5. Public information and no reliance

Website content is provided for general information only. It is not engineering, design, safety, regulatory, legal, financial or other professional advice and must not be used as a substitute for authorised professional judgement.

Public descriptions of Flo, workflows, outputs, performance, roadmap items, service levels, security arrangements and customer outcomes are summaries only. The scope, assumptions, acceptance criteria, responsibilities, controls and remedies applicable to a customer are those stated in the relevant signed customer agreement.

You should obtain appropriate professional advice and independently verify information before acting or relying on it. No drawing, design or site decision is approved merely because information appears on the Website.

We take reasonable care over Website content, but we do not promise that it is complete, accurate, current or suitable for a particular purpose.

6. Enquiries and information you submit

You are responsible for ensuring that information you submit through the Website is accurate, lawful and appropriate for the purpose for which it is provided.

Do not submit through a public Website form:

  • telecoms drawings, surveys, or design packs;
  • account credentials, access tokens, or security information;
  • customer-confidential, export-controlled or commercially sensitive material;
  • special-category personal data; or
  • any information you are not authorised to disclose.

Use the authorised customer platform or another channel expressly agreed with NewFlo for customer project data.

Where you send comments, suggestions or general product feedback that do not contain confidential information, you permit us to use them to evaluate and improve our business and services. This does not transfer ownership of your pre-existing intellectual property or customer data.

7. Intellectual property

The Website and its content, including text, graphics, product names, trade marks, logos, interfaces, designs, software and documentation, are owned by or licensed to NewFlo and are protected by intellectual-property laws.

You may view the Website and make a reasonable number of copies of public pages for your organisation’s internal evaluation of NewFlo. You must not reproduce, publish, distribute, sell, license, modify, reverse engineer or create derivative works from Website content without our prior written permission, except where the law expressly permits it.

NewFlo, Flo and associated names, logos and brand assets are trade marks or trading indicia of Newflo Telecoms Ltd. No right to use them is granted except as expressly stated in writing.

8. Links and third-party services

The Website may link to websites, platforms or content operated by third parties. Those links are provided for convenience only. We do not control and are not responsible for third-party content, availability, security, privacy practices or terms.

A link does not imply endorsement, partnership or approval unless we expressly say so.

You may link to the Website in a fair and lawful way that does not damage our reputation, suggest an association that does not exist, frame the Website, or misrepresent our services. We may ask you to remove a link where reasonably necessary.

9. Availability and security

We may change, suspend, withdraw or restrict any part of the public Website without notice. We do not guarantee that the Website will always be available, uninterrupted, error-free or free from harmful code.

You are responsible for configuring and protecting your own systems, devices and data. You should use appropriate security controls and current malware protection.

Availability, support, resilience, security commitments and service credits for paid services are governed only by the applicable customer agreement.

10. Liability

Nothing in these terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, and to the fullest extent permitted by law:

  • we are not liable for loss arising from reliance on general Website content instead of the relevant customer agreement or professional advice;
  • we are not liable for loss caused by third-party websites, services or content;
  • we are not liable for loss caused by events outside our reasonable control; and
  • where you use the Website in a business capacity, we are not liable for any indirect or consequential loss, loss of profit, revenue, business, contracts, anticipated savings, goodwill, opportunity or data arising solely from your use of, or inability to use, the public Website.

Any liability connected with Flo or a paid, pilot, professional or managed service is governed by the applicable written customer agreement and not by this clause.

11. Privacy and cookies

Our Privacy Policy explains how we process personal data. Our Cookie Notice explains how we use cookies, pixels, tags, local storage and similar technologies and how you can manage your choices.

Cookie consent is separate from acceptance of these terms. You can change your non-essential cookie choices at any time through the Cookie settings link on the Website.

12. Changes to the Website and these terms

We may update the Website and these terms from time to time. The date at the top shows when these terms were last updated.

Changes apply from publication and do not retrospectively amend a signed customer agreement. Where a change materially affects registered Website functionality, we may take reasonable steps to provide additional notice.

13. General

If a provision of these terms is unlawful or unenforceable, it will be treated as modified to the minimum extent necessary, and the remaining provisions will continue in effect.

A delay in enforcing a right is not a waiver of that right.

You may not transfer your rights under these terms without our prior written permission. We may transfer our rights and obligations as part of a reorganisation, financing, sale or transfer of our business, provided this does not reduce any mandatory rights you have.

Except where a signed customer agreement states otherwise, no person other than you and NewFlo has a right to enforce these terms.

14. Governing law and courts

These terms and any non-contractual dispute arising from the Website are governed by the law of Scotland.

The courts of Scotland have exclusive jurisdiction, except to the extent that mandatory law gives you the right to bring proceedings elsewhere.
